Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") are an agreement between you ("you" or "Affiliate") and Insight Thread Inc. ("Insighthread," "we," "us," or "our"). They cover the Insighthread affiliate program (the "Program"), described at insighthread.com/affiliate. By applying to or taking part in the Program, you agree to these Affiliate Terms. Our Terms of Service and Privacy Policy also apply.

1. Who can join

Anyone 18 or older who can enter a binding agreement can apply. We review every application and may decline it for any reason. We may also remove any Affiliate from the Program at any time, with or without a reason.

2. Commissions

On the Standard plan, you earn:

  • $10 for every new sign-up you refer, even on a free account, once it meets the rules in section 3.
  • 100% of the referred user's first payment: $30 on the monthly plan, $300 on the yearly plan.
  • 50% of every payment after that, for as long as the referred user keeps a paid subscription.

Commissions are calculated on amounts we actually collect, net of refunds, chargebacks, taxes and payment disputes. If a payment is refunded or charged back, the commission on it is reversed. Recurring commissions continue only while the referred user keeps a paid subscription and you remain in good standing under these Affiliate Terms.

3. What counts as a sign-up for the $10 bonus

A sign-up earns the $10 bonus only if all of these are true:

  • It is a new Insighthread account; the person has not registered before.
  • The person has verified their email address.
  • The person has been active in the app on 2 different calendar days.
  • It was not created by you, or by anyone acting with you or on your behalf.

Only one sign-up bonus is paid per person, however many accounts they create.

4. Attribution

A referral is credited to you when a user clicks your referral link and signs up within 60 days of that click. If a user clicked more than one affiliate's link, the last link clicked before sign-up gets the credit ("last click"). Each referred user can be credited to only one Affiliate. Our tracking records are final for deciding attribution.

5. Payment

  • We pay once a month, by the 15th, for commissions that are more than 30 days old. The 30 days cover our refund window.
  • The minimum payout is $50. If you have less than $50 due, it carries over to the next month.
  • We pay through PayPal or Wise. You must give us accurate payment details; we are not responsible for payments sent to details you gave us.
  • You are responsible for your own taxes. We may ask for tax forms before paying you and may hold payments until we receive them.

6. What you may not do

You may not:

  • Refer yourself, create duplicate or fake accounts, or offer incentives for sign-ups (for example, paying people to sign up).
  • Send spam or unsolicited messages, by email, direct message, comment or any other channel.
  • Bid on "Insighthread" or any misspelling or variation of it in search ads, or use them in ad copy, display URLs or domain names.
  • Pretend to be Insighthread, or suggest that you speak for us or that we endorse you beyond this Program.
  • Make misleading claims about the product or about investment returns. Never say or imply that using Insighthread guarantees profits, and never give investment advice in connection with your referrals.
  • Use cookie stuffing, forced clicks, hidden links or any other method that sets a referral without the user knowingly clicking your link.
  • Break any law or regulation that applies to your promotion.

7. Disclosure

You must clearly and conspicuously disclose your relationship with Insighthread wherever you share your referral link, as required by the US Federal Trade Commission's Endorsement Guides and similar rules elsewhere. A plain statement such as "I earn a commission if you subscribe through my link" placed next to the link is enough. Hidden or vague disclosures are not.

8. Fraud and breaches

If we believe a commission is tied to fraud, abuse or a breach of these Affiliate Terms, we may hold it, reverse it, or claw it back from future or past payments, and we may end your participation in the Program. We decide these cases in good faith using the information we have.

9. Partner plan

Partners may have custom terms, such as a different commission rate, a discount code for their audience, or co-marketing. Custom terms must be agreed in writing (email is enough). Where custom terms differ from these Affiliate Terms, the custom terms apply; everything else in these Affiliate Terms still applies.

10. Changes to these terms

We may change these Affiliate Terms or the Program. We will email you at least 30 days before a change takes effect. Commissions you earned before the change takes effect are kept under the terms in force when you earned them. If you keep taking part after the change takes effect, you accept the new terms. You may leave the Program at any time.

11. General terms

Independent relationship

You are an independent contractor. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, franchise or employment relationship between you and Insighthread. You may not make commitments on our behalf.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Insighthread AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE PROGRAM OR THESE AFFILIATE TERMS, REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE PROGRAM SHALL NOT EXCEED THE COMMISSIONS PAID OR OWED TO YOU IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

Program "as is"

We provide the Program and its tracking "as is." We do not promise that referral tracking will be uninterrupted or error-free, or that you will earn any amount.

Indemnification

You agree to indemnify and hold harmless Insighthread and its officers, directors, employees and agents from any claims, damages, losses and costs (including reasonable attorneys' fees) arising from your promotion of Insighthread or your breach of these Affiliate Terms.

Governing law

These Affiliate Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding relating to these Affiliate Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Other

If any part of these Affiliate Terms is found unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Affiliate Terms without our written consent; we may assign them.
