Agreement to Terms

Welcome to Insighthread. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Insighthread ("we," "us," "our," or "Company") governing your access to and use of the Insighthread website at Insighthread.com, our AI-powered stock market analysis platform, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Payment

Billing Cycle

Refunds

Cancellation

  • You will retain access to the Service until the end of your current billing period

  • No refunds will be provided for partial billing periods

  • Your account data may be deleted after a retention period following cancellation

Use of the Service

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL

  • COST OF SUBSTITUTE SERVICES

  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE

  • DAMAGES ARISING FROM ANY INVESTMENT OR FINANCIAL DECISIONS YOU MAKE

This applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR

  • ONE HUNDRED DOLLARS ($100)

Basis of the Bargain

You acknowledge that these limitations of liability reflect a reasonable allocation of risk and are a fundamental part of the agreement between you and Insighthread.

Indemnification

You agree to indemnify, defend, and hold harmless Insighthread and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any applicable law or regulation

  • Your violation of any third-party rights

  • Any content you submit to the Service

Termination

Termination by You

You may terminate your account at any time by:

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if:

  • You violate these Terms

  • You fail to pay applicable fees

  • We are required to do so by law

  • We discontinue the Service

Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease

  • You will not be entitled to any refund of fees paid

  • Provisions of these Terms that by their nature should survive will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability

Dispute Resolution

Informal Resolution

Before filing a formal legal claim, you agree to try to resolve any dispute informally by contacting us at legal@Insighthread.com. We will try to resolve the dispute within 30 days.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Jurisdiction

Any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Time Limitation

Any claim you may have arising from or relating to these Terms or the Service must be filed within one (1) year after the claim arose, or it will be permanently barred.

Changes to Terms

We may modify these Terms at any time. If we make material changes:

  • We will post the updated Terms on this page

  • We will update the "Last Updated" date

  • We may notify you by email for significant changes

Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

General Provisions

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Insighthread regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it later.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
